Affiliate Terms

1. Overview

The Unloqqq Affiliate Program (“Program”) allows approved users (“Affiliates”) to earn commissions by referring either:

• New Vendors to the Unloqqq platform, or
• New Customers to individual Vendor offers.

Participation in the Program constitutes acceptance of these Terms & Conditions (“Terms”).

Unloqqq is a platform enabling creators to sell access, memberships, or private communities with controlled visibility.

2. Eligibility

To join, you must:

• Be at least 18 years old.
• Hold a valid Unloqqq account.
• Accept these Terms.

Unloqqq reserves the right to approve or remove affiliates at its sole discretion.

3. Tracking & Attribution

Each affiliate is assigned a unique referral link.

When a referred Vendor or Customer registers or completes a purchase through this link, the referral is tracked automatically via Unloqqq’s internal system.

Attribution uses a last-referrer model.

Fraudulent or self-referrals are automatically voided.

4. Commission Structure

4.1 Platform Referrals (Affiliates → Unloqqq)

If you refer a new Vendor who joins and generates revenue through Unloqqq:

• You earn 40% of the platform fees collected from that Vendor's transactions.
• Unloqqq platform fees are 10% for free plan sellers and 3% for pro plan sellers (49€/month subscription).
• Additionally, for referred Vendors on the pro plan, you earn 40% of their monthly subscription fee (€19.60/month from the €49 subscription) for as long as they remain subscribed.
• These commissions are recurring for as long as the Vendor remains active.

Examples:

• Free plan: Vendor earns €1,000 → Unloqqq collects €100 (10%) → You receive €40
• Pro plan: Vendor earns €1,000 → Unloqqq collects €30 (3%) → You receive €12 + €19.60/month subscription commission

4.2 Vendor Referrals (Affiliates → Vendor Offers)

If you refer customers to a Vendor's paid product or access page:

• You earn the commission rate defined by that Vendor.
• Commission is calculated on the Vendor's net amount, meaning the part of each payment the Vendor actually receives after Unloqqq's platform fee and Stripe processing fees have been deducted.
• Commissions do not apply to free offers.
• Rates are locked at approval and apply to future billing cycles only.
• Approvals are lifetime unless the Vendor cancels. No clawback of past commissions.

Illustration only: if an offer is priced at €100, Unloqqq and Stripe take their respective fees first. Your affiliate commission rate (for example, 50%) is then applied to what the Vendor keeps after those fees.

5. Payouts

5.1 Frequency

Payouts are processed by the seller, or in relevant cases by the platform as follows:

5.2 Responsibility

Unloqqq provides the infrastructure to track, calculate, and display earned commissions.

However:

• For Platform-affiliate programs, the Platform is responsible for confirming and initiating payments.
• For Vendor-affiliate programs, the Vendor is responsible for confirming and initiating payments.

Unloqqq does not automatically release funds without confirmation from the responsible party.

5.3 Methods

Payouts may be issued via PayPal.

Transaction fees charged by payment providers are the Affiliate's responsibility.

5.4 Minimum Threshold

A minimum of €20 may be required before payout initiation. Balances below this threshold roll over to the next cycle.

6. Fraud & Fair Use

Unloqqq enforces a zero-tolerance policy toward manipulation or abuse.

This includes but is not limited to:

• Fake signups or self-referrals.
• Spamming or unauthorized messaging.
• Misrepresentation of Unloqqq's features.

Any violation may result in suspension and forfeiture of pending commissions.

7. Taxes & Legal Status

Affiliates act as independent contractors, not employees of Unloqqq.

Each affiliate is solely responsible for declaring and paying taxes applicable in their country.

Unloqqq may require completion of tax forms before processing payouts.

8. Termination

Either party may terminate participation at any time.

Pending commissions not yet 'approved' at the time of termination are forfeited.

Approved commissions may still be paid at Unloqqq’s or the Vendor’s discretion.

9. Limitation of Liability

Unloqqq is not liable for delays, indirect damages, or payment errors caused by Vendors or third-party providers.

Unloqqq’s total liability under these Terms is limited to the total amount of commissions paid within the preceding twelve months.

10. Changes to the Program

Unloqqq may update these Terms or modify commission structures at any time.

Changes are effective immediately upon publication. Continued participation constitutes acceptance.

11. Governing Law

These Terms are governed by French law.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, France.
